Terms of service

These terms apply to professional services arranged through Node Channel Software Consulting (“we”, “us”). By submitting an inquiry or signing a statement of work, you agree to the framework below.

Services

We provide project-based Node.js backend architecture and development consulting. Each engagement is defined in a separate statement of work listing deliverables, schedule, fees in TWD, and acceptance criteria.

Client responsibilities

You provide timely access to repositories, staging environments, and decision makers. Delays in access may shift milestones without automatic fee reductions unless both parties agree otherwise.

Fees and payment

Invoices follow the milestone schedule in your statement of work. Unless stated otherwise, payment is due within fourteen calendar days of invoice date.

Confidentiality

Both parties will protect non-public technical and business information shared during an engagement, except where disclosure is required by law.

Intellectual property

Unless the statement of work specifies otherwise, deliverables created specifically for you are assigned upon full payment of the related milestone. Pre-existing tools and libraries remain with their respective owners.

Limitation of liability

To the extent permitted under Taiwanese law, our aggregate liability arising from consulting services is limited to the fees paid for the engagement giving rise to the claim. We are not liable for indirect or consequential damages.

Governing law

These terms are governed by the laws of Taiwan. Courts in Taipei shall have non-exclusive jurisdiction.
